Biography
Addy is a partner in the Corporate, Commercial & Securities Practice Group of Wong & Partners. His portfolio focuses on mergers and acquisitions, corporate restructurings and reorganisations, foreign direct investments and joint ventures. He is regarded as one of the few lawyers in Malaysia who can communicate and write in Chinese language fluently and professionally.
Addy is recognised as an Up and Coming practitioner for Corporate / M&A by Chambers Asia Pacific, and has been named a Next Generation Partner for the same practice area by Legal 500 Asia Pacific. His strength and unique market position has also lead him to being featured in the 2023 Forbes China 100 Most Influential Chinese Selection.
Practice Focus
Addy has regularly represented multinationals and corporations in cross border transactions, joint ventures, investments and other aspects of corporate and commercial laws. He also regularly acts for insurers and reinsurers on corporate exercises, development of distribution channels and alliances, and regulatory compliance issues. He has a portfolio of corporate, compliance and regulatory advisory work for corporations across various industries such as financial services, manufacturing, logistics and supply chain, and energy.
Addy is also an appointed legal advisor to the Malaysia-China Chamber of Commerce, supporting the cooperation and development of trade and investments between Malaysia and China. He has also advised and represented Chinese corporations in outbound direct investments, joint ventures, projects and other corporate advisory matters.
Representative Legal Matters
- Advised Liberty International Holdings Inc. and its Malaysian licensed general insurer, Liberty Insurance Berhad (LIB), on LIB’s acquisition of AmGeneral Insurance Berhad (AmGen). Post-acquisition, AmGen will be merged with LIB through a scheme of transfer of business. The part cash part share deal resulted in Liberty acquiring a 70% majority stake in the LIB-AmGen combined business. The combined businesses of LIB and AmGen are expected to create the largest motor insurer, and second largest property and casualty insurer, in Malaysia.
- Acted for Great Eastern Life Assurance (Malaysia) Berhad and Great Eastern Takaful Berhad in respect of the proposed MYR 1.121 billion acquisition of shares in AmMetLife Insurance Berhad and AmMetTakaful Berhad. We further advised on the terms of the bancassurance and bancatakaful partnership between (i) AmMetLife Insurance and AmBank (M) Berhad; and (ii) AmMetTakaful Berhad, AmBank (M) Berhad and AmBank Islamic Berhad.
- Acted for Nichirei Logistics Group Inc. ("Nichirei"), the largest logistic service provider in Japan on the strategic acquisition of 49% stake in Litt Tatt Enterprise Sdn Bhd and Litt Tatt Distribution Sdn Bhd respectively. The Litt Tatt group is a premier logistics solution provider, and is a well-known brand for provision of cold chain logistics solutions.
- Advised ECarX, a subsidiary of Geely Auto Group, China, in a strategic joint venture arrangement with Proton Edar Sdn Bhd and Altel Communications in respect of the development of digital cockpit for Malaysia's national automobile vehicles.
- Advised Eastman Chemical Company on all legal aspects of the disposal of the tire additive business of its Malaysian subsidiaries, which form a significant portion of the global tire additive business, and negotiated on the Malaysian transaction documents with respect to the disposal.
- Advised Thai-based multinational food & beverage manufacturer in connection with the acquisition of a 50% stake in a Malaysian food distribution company from its publicly listed parent company, and the proposed joint venture between our client and the target’s parent company with respect to growing our client's distribution business pertaining to its beverage products in Malaysia.
