Biography

Elaine is a partner in the Finance & Projects Practice Group at Wong & Partners. She focuses on banking and finance transactions, including conventional, Islamic, bilateral and syndicated financing, debt capital market transactions, project financing and other general banking matters. Elaine is ranked as Up and Coming for Banking & Finance by Chambers Asia Pacific in 2024 and ranked as a Next Generation Partner for Banking & Finance by Legal 500 Asia Pacific in 2024.

Practice Focus

Elaine represents financial institutions, governmental bodies and corporations in a wide range of corporate general banking transactions, including bilateral and syndicated loans, both conventional and Islamic finance in Malaysia. She has also been involved in fund-raising transactions by way of issuance of conventional and Islamic debt capital market instruments such as commercial papers, medium terms notes, perpetual bonds and loan stocks, acquisition financing and project financing of several significant projects including solar energy, property development and infrastructure projects in Malaysia. Elaine also advises on the financial restructuring and rescheduling of major corporations in the country.

Representative Legal Matters

  • Represented Maybank Investment Bank Berhad and OCBC Al-Amin Bank Berhad as the joint principal advisers and joint lead arrangers in connection with Westports Sdn Bhd's inaugural establishment of an Islamic medium term notes programme of up to MYR5 billion in nominal value under the Shariah principle of Wakalah Bi Al-Istithmar with a sustainable and responsible investment structure (Sukuk Wakalah Programme) and issuance of Islamic medium term notes thereunder (Sukuk Wakalah).

  • Represented DRB-HICOM Berhad, as the issuer, in connection with the 30-year Islamic medium term note of up to MYR3.5 billion under the Shariah principle of Wakalah Bi Al-Istithmar ("Sukuk Wakalah Programme"). Maybank Investment Bank Bhd and RHB Investment Bank Bhd are the joint principal advisers, joint lead arrangers and joint lead managers for the Sukuk Wakalah Programme.

  • Represented HSBC Amanah Malaysia Berhad and RHB Investment Bank Berhad as the joint principal advisers and joint lead arrangers in connection with LBS Bina Group's inaugural establishment of an Islamic medium term notes programme of up to MYR750 million in nominal value under the Shariah principle of Wakalah Bi Al-Istithmar with a sustainable and responsible investment structure (Sukuk Wakalah Programme) and issuance of Islamic medium term notes thereunder (Sukuk Wakalah).

  • Represented Maybank Investment Bank Berhad as the principal adviser / lead arranger / lead manager in connection with the sukuk programme of up to MYR550 million in nominal value established by a wholly owned subsidiary of Cypark Resources Bhd. This transaction was recognised as the Green Deal of the Year by Islamic Finance News and the Islamic Finance Deal of the Year by Project Finance International in 2020.

  • Represented CIMB Islamic Bank Berhad as the lender in connection with the provision of facilities to Go Energy Sdn Bhd, a wholly owned subsidiary of UiTM Holdings Sdn Bhd. The purpose of the financing is to, amongst others, part finance the project cost of the construction and development of self-consumption photovoltaic solar generating systems at seven (7) Universiti Teknologi MARA (UiTM) campuses. The installation of solar power generating facilities in the campuses is part of UiTM Green Campus Project, aimed to conserve energy consumption as well as generate clean energy for UiTM’s own consumption in all of its 35 campuses nationwide. This project will support UiTM’s strategies for a better management of energy consumption by at least 25%, thus reducing UiTM’s carbon footprint by approximately 74,000 tonnes per annum.

  • Advised Maybank Investment Bank Berhad and AmInvestment Bank Berhad with the establishment of a perpetual Senior Sukuk Mudharabah and Subordinated Sukuk Mudharabah under the Sukuk Mudharabah Programme of up to MYR1.5 billion in combined nominal value granted to Yinson TMC Sdn Bhd, a unit of Yinson Holdings Berhad which is a leading provider of floating production, storage and offloading services. This transaction won the Mudharabah Deal of the Year award by Islamic Finance News in 2019.
